1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of AllyMerci's website (audit.allymerci.com) and all associated services, including the ₹1Cr Scaling Architecture Review ("Review"). By visiting this website, submitting a booking form, or engaging in a review session, you confirm that you have read, understood, and accepted these Terms.

These Terms constitute a legally binding agreement between you ("Client", "you") and AllyMerci ("we", "us", "our"), operated by the founder of AllyMerci, India.

2. Services Offered

AllyMerci provides strategic growth consulting services to D2C brand founders in India. Our primary service is the 30-minute Scaling Architecture Review, which includes:

• A structured diagnostic conversation covering your brand's scaling structure, ad performance, contribution margin, and cash flow.
• A written Scaling Friction Map delivered within 24 hours of the session.
• A Priority Action Roadmap outlining 3–5 ranked structural improvements.

AllyMerci may also offer deeper engagement engagements on a selective, case-by-case basis. Terms for such engagements are governed by separate agreements.

The free Review is a diagnostic service only. It does not constitute financial, legal, accounting, or investment advice. All recommendations are strategic in nature and should be evaluated by qualified professionals before implementation.

3. Eligibility

To access AllyMerci services, you must:

• Be at least 18 years of age.
• Be a business owner, co-founder, or authorised representative of a registered or actively operating D2C brand.
• Provide accurate and honest information about your business during the review session.

AllyMerci reserves the right to decline or cancel any booking at its sole discretion, including if the requester does not meet the stated criteria.

4. Booking & Scheduling

Bookings are made via the Calendly embed on this website. By booking a slot, you agree to:

• Attend the session at the confirmed time or provide at least 24 hours' notice to reschedule.
• Be present and prepared for a focused, honest 30-minute conversation about your business.
• Understand that review slots are limited and a no-show without notice may prevent rescheduling.

AllyMerci reserves the right to reschedule sessions due to unforeseen circumstances. You will be notified as early as possible and offered an alternative time.

5. Payment Terms

The 30-minute Scaling Architecture Review is offered at no charge. There are no hidden fees associated with the free Review.

If you subsequently engage AllyMerci for a paid deeper engagement, the following terms apply:

• All fees will be communicated in writing prior to engagement commencement.
• Payments are processed via Razorpay and are subject to their terms of service.
• Invoices are issued under the applicable GST framework for consulting services in India.
• Fees are due as specified in the engagement agreement. Late payments may result in service suspension.

All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.

6. Intellectual Property

All content on audit.allymerci.com — including text, graphics, frameworks, methodology, and design — is the intellectual property of AllyMerci and is protected under applicable copyright law.

The Scaling Friction Map and Priority Action Roadmap delivered to you following your Review are for your personal business use only. You may not reproduce, redistribute, publish, or sell these materials without written consent from AllyMerci.

The AllyMerci name, logo, and all associated branding are proprietary and may not be used without explicit written permission.

7. Confidentiality

AllyMerci treats all business information shared during review sessions as strictly confidential. We will not disclose your brand's financials, strategies, or operational details to any third party without your consent.

In return, any proprietary frameworks, methodologies, or strategic materials shared by AllyMerci during the session are confidential and intended solely for your use. You agree not to share, reproduce, or commercially exploit these materials.

This mutual confidentiality obligation survives the termination of any engagement between the parties.

8. Limitation of Liability

To the maximum extent permitted by applicable law, AllyMerci shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of or reliance on recommendations provided during the Review.
• Any business decisions made based on insights from AllyMerci sessions.
• Interruptions, errors, or unavailability of this website.

In no event shall AllyMerci's total liability to you exceed the amount paid by you to AllyMerci in the three months preceding the claim.

9. Disclaimer of Warranties

This website and all services are provided "as is" without any warranty of any kind, express or implied. AllyMerci makes no representations or warranties regarding the accuracy, completeness, or suitability of the information provided during reviews.

Results shared from past client engagements (case studies, testimonials) are illustrative only and do not guarantee similar outcomes for your business.

10. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of India.

Before initiating formal proceedings, both parties agree to attempt good-faith resolution through direct communication for a period of 30 days.
